Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HorizonAI website and any related pages, forms, demo materials, private previews, or services that link to these Terms (collectively, the "Services"). These Terms are between you and Horizon AI ("HorizonAI," "we," "us," or "our").

If you access the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Separate written agreements may apply to paid services, pilots, enterprise deployments, data processing, support, security commitments, or service-level commitments. If a separate written agreement applies, that agreement controls to the extent of any conflict.

1. Use of the Services

You may use the Services only in compliance with these Terms and applicable law. You may not:

• Use the Services for unlawful, harmful, fraudulent, or abusive purposes.
• Attempt to gain unauthorized access to systems, accounts, data, or networks.
• Interfere with or disrupt the integrity, security, or performance of the Services.
• Reverse engineer, scrape, crawl, or extract data from the Services except as permitted by law or written agreement.
• Submit content that infringes, misappropriates, or violates the rights of others.
• Use public website forms to submit highly sensitive, regulated, or confidential documents.

2. Website and Demo Materials

Information on our website is provided for general informational purposes. Product capabilities, integrations, security features, and roadmap items may vary by customer agreement, deployment model, configuration, and availability. Website content does not create a warranty, service-level commitment, or legal obligation unless expressly included in a signed written agreement.

3. AI Outputs and Professional Review

HorizonAI may provide AI-assisted search, review, extraction, summarization, or workflow features. AI-generated outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing outputs, validating source references, and making final decisions. The Services do not provide legal, financial, investment, medical, or other professional advice.

4. Customer Content

If you submit documents, prompts, queries, files, outputs, or other content to the Services ("Customer Content"), you represent that you have the necessary rights and permissions to do so.

As between you and Horizon AI, you retain ownership of Customer Content. You grant Horizon AI the rights necessary to host, process, transmit, display, and use Customer Content to provide, secure, support, and improve the Services as permitted by these Terms or any applicable written agreement.

Customer Content submitted under an enterprise agreement, pilot agreement, data processing addendum, or other written agreement is governed by that agreement.

5. No Training on Customer Content Without Agreement

Unless otherwise agreed in writing, Horizon AI will not use Customer Content submitted through the Services to train generalized or third-party foundation models. We may use aggregated, de-identified, or technical usage information to operate, secure, debug, analyze, and improve the Services, subject to applicable law and customer agreements.

6. Privacy

Our Privacy Policy explains how we collect and process personal information. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

7. Intellectual Property

The Services, website, software, designs, text, graphics, logos, and related materials are owned by Horizon AI or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you by implication or otherwise.

If you provide feedback, suggestions, or ideas, you grant Horizon AI a non-exclusive, worldwide, royalty-free right to use them without restriction or compensation.

8. Third-Party Services

The Services may link to or interoperate with third-party services, infrastructure, models, data sources, or integrations. Horizon AI is not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.

9. Beta or Evaluation Features

Private previews, beta features, pilots, or evaluation services may be experimental and may change, be suspended, or be discontinued at any time. They are provided for evaluation unless otherwise agreed in writing.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Horizon AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

11. Limitation of Liability

To the maximum extent permitted by law, Horizon AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the maximum extent permitted by law, Horizon AI's aggregate liability for claims arising out of or related to these Terms or the Services will not exceed one hundred U.S. dollars (US $100) unless a separate written agreement states otherwise.

12. Indemnity

You will defend, indemnify, and hold harmless Horizon AI and its officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your Customer Content, or your violation of these Terms or applicable law.

13. Suspension and Termination

We may suspend or terminate access to the Services if we believe you violated these Terms, created risk or liability, or used the Services in a manner that may harm Horizon AI, users, customers, or third parties.

14. Changes

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Services after updates become effective means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Courts located in Clark County, Nevada will have exclusive jurisdiction unless a separate written agreement states otherwise.
